Memorandum of Incorporation

Your company’s memorandum of incorporation (“MOI”) is the most important document governing the actions of your company and its owners and the relationship between them. It is important to ensure that your MOI still reflects the intentions of you and your co-shareholders and directors’ about key issues. For example, what would happen if a shareholder or director decides to leave the company? When will you or the company be forced to buy or sell shares? Whose vote is needed for different decisions? What happens if the company needs more capital? What if a shareholder suddenly passes? Do you have the ability to protect your company against a shareholder that acts to its detriment? With registering a trademark, your unique name, slogan or logo will be protected as yours only and you will have a right to prohibit anyone else from using it in their business. Trademark registration protects your name as an intangible property asset against misuse or intellectual property theft that could cause damage to your brand. Once a trademark is registered in your name, it remains exclusively yours for 10 years whereafter you can opt to renew the mark every 10 years to prohibit anyone else from applying for registration of it.
